The registered shares of Uster Technologies Ltd have been listed on SIX Swiss Exchange since October 19, 2007. The par value per registered share is CHF 9.40. The share capital is fully paid up.
Each share recorded and registered under a shareholder’s name in the share register of Uster Technologies Ltd is entitled to one vote. There are no preferential rights for individual shareholders and all shareholders are entitled to equal dividends.
All registered shareholders entitled to vote may be represented at a general meeting by a proxy designated by them in writing or by the representative appointed by the Company, by the independent proxy or by a depositary representative. Representatives need not to be shareholders.
The Board of Directors is further required to convene an extraordinary shareholders’ meeting if so resolved by a shareholders’ meeting or if so requested by holders of shares holding in aggregate at least 10% of the nominal share capital of the Company. Shareholders holding shares with a nominal value of at least CHF 1 million or 10% of the nominal share capital have the right to request that a specific proposal be discussed and voted upon at the next shareholders’ meeting, setting forth the item and proposal. This request to put an item on the agenda has to be made at least 60 days prior to the date of the meeting. Extraordinary shareholders’ meetings may be called as often as necessary, in particular in all cases required by law.
